[foundation-board] Fwd: Draft Grant Agreement

Hi All,

We have been draft agreement by Omidyar. I'd suggest Jason and Jordan
review this (if Jordan is up for that). Couple of key points from my
quick reading:

1. They ask for right to designate Grantor Observer on board (but not
a board member). I think we are good with this.
2. They require us to have our annual financials audited going forward
(which resolves the discussion at the board meeting) - assuming we
accept the grant.

Hi Jason,

Please find attached a draft copy of the grant agreement for Open
Knowledge Foundation.  If acceptable to OKF, you should sign and
return two originals of the agreement (including the side letter in
Exhibit E) to Arwyn Icard in our Redwood City office via DHL or
similar service. The address is:

It would also be helpful if you could send us a pdf scanned version of
the signed agreement as well.  Arwyn will arrange for our
counter-signature. In addition, you should complete the attached wire
transfer form, so that we have wire transfer instructions for you. If
you have any questions on the contract do let me know.

I am also copying Greg Pershall and Annis Steiner from our
Communications Team who can work with you on an agreed release and
details to go on our website
