Attached is the INTERNAL ONLY edit of the agreement with several questions/comments for us to discuss in relation to the agreement.  Within the agreement, I have:

* Marked down comments as INTERNAL if they are for us to discuss prior to sending across and possibly further marking up the document.
* All other comments should be meant for the response to Omidyar and so are drafted in a different tone.  If you don't agree with any of these changes, please feel free to comment here as well.
* I reviewed all the pages in the doc, so don't just stop reading after the main body of the contract is done

I was a bit unclear on this -- does this mean that we pay for a further set of accountants to audit the set of accounts the first set produced?  It's not clear to me that we can use Omidyar funds for this audit expense, so just need to make sure it's in the budget.
