Dear Board members,
Rufus and I have agreed that I should work for OKF for a few months on
Annotate It, OpenSpending and related matters, which I am very much
looking forward to contributing to, unrestrained by manic startups. I
suggested stepping down as a director, but he preferred that I remain.
This automatically triggers the rules the Board has put in place about
directors' working for the organisation, and the normal general corporate
governance concerns.
These rules provide (inter alia), that one must charge "mates' rates",
there be no obvious substitute, that one recuse oneself from involvement
in decisions relating to oneself, and that one not get paid for normal
work one would do as a director. It goes without saying that I'd charge
OKF only mates' rates whether or not I were on the Board, so there is no
financial loss to OKF in a decision that I should step down.
Anyway, please discuss if necessary.
