Dear Board,

*Please sign the attached revised Special Resolution, scan and return to me
and Michelle (in CC) ASAP*

You very kindly responded on this thread, and I apologise for the
additional paperwork required - I give an explanation of the legal
necessity below:

   - While the Board has the ability to pass resolutions by email
   agreement, Members of the Company do not, and it is a decision by Members
   of the Company that is required to amend the Articles of Association, not
   the Board, even though you are the same people wearing different 'hats';
   - As the November meeting wasn't attended by 75% of the Board, this
   could not count as the formal General Meeting required for the previously
   circulated resolution.

A signed copy may be a print-off that is signed and scanned, or a copy
including an e-signature. Both may be returned via email.

I reattach the proposed new Articles of Association for reference.
