[foundation-board] A reminder re the relationship of "Members" of the Company and Members of the Board (of Directors)

Hi All,

As you will all be aware there is a clear distinction in the Articles
between Members and Board Members. However, there is a relationship
between them since:

1. A member of the Board of Directors *must* be a Member of the
company (Art 32: No person who is not a Member of the Company shall in
any circumstances be eligible to hold office as a Director.)
2. Members are approved by the Directors. (Art 3: No person shall be
admitted a Member of the Company unless he is approved by the
Directors. Every  person who  wishes to become a Member shall deliver
to the Company an application for membership in such form as the
Directors require executed by him)

Therefore, as has been discussed in the past, we have a policy of
identifying them in the following way:

1. Application and approval for membership of the Board of Directors
is also application (and approval) as a Member of the Company
2. Notice of resignation as a Director is also notice of withdrawal as
Member of the Company

Thus the current members of the Board and the Members of the company
are identical. It may be worth putting this information on
http://okfn.org/board/ page for easy reference going forward.
